फॉर्म एमजीटी -8 का परिचय

फॉर्म एमजीटी -8 कंपनी सचिव द्वारा प्रमाणित वार्षिक रिटर्न की पूर्ति के लिए एक प्रमाण पत्र है:

  • दस करोड़ रुपये की चुकता शेयर पूंजी
  • या अधिक या पचास करोड़ रुपये का कारोबार
  • एक या अधिक सूचीबद्ध कंपनी द्वारा, प्रैक्टिसिंग कंपनी सचिव द्वारा।

नियम 11, (2),  कंपनी अधिनियम 2013 के अनुसार ,  धारा 92 (2) के तहत, कंपनी सचिव कंपनी के कागजात की जांच करता है, कंपनी को आश्वासन प्रदान करने के लिए रजिस्टर, रिकॉर्ड, किताबें देता है कि अब धोखाधड़ी गतिविधियों का कोई जोखिम नहीं है और कोई गलत बयानी।

कंपनी सचिव के द्वारा निर्धारित टर्नओवर और पेड-अप कैपिटल वाली कंपनी द्वारा वार्षिक आयकर रिटर्न धारा 92 (2) के तहत एक निर्धारित रूप में प्रमाणित किया जाना चाहिए। अधिनियम के सभी प्रावधान को पूरा करते हुए तथ्यों का खुलासा करने वाले वार्षिक विवरण को सही होना चाहिए।

प्रपत्र MGT-8 के लिए अनुपालन पहलू

फॉर्म एमजीटी -8 को आश्वासन के प्रमाण पत्र की आवश्यकता होती है कि कंपनी के इस पहलू ने अधिनियम और नियमों के प्रावधानों का अनुपालन किया है। कंपनी सचिव की जिम्मेदारी केवल सूचीबद्ध विनियमन तक ही सीमित है। एमजीटी -8 के साथ निम्नलिखित अनुपालन के कुछ पहलू निम्नलिखित हैं:

  1. अधिनियम के तहत कंपनी की स्थिति,
  2. रिकॉर्ड, पुस्तकों को बनाए रखना और दिए गए समय के भीतर प्रविष्टियां करना,
  3. निर्धारित समय के भीतर / परे केंद्र सरकार, ट्रिब्यूनल, कोर्ट, कंपनियों के रजिस्ट्रार, क्षेत्रीय निदेशक और अन्य अधिकारियों के साथ वार्षिक रिटर्न के अनुसार रिकॉर्ड और फॉर्म दाखिल करना
  4. निदेशक मंडल या उसकी समितियों के साथ बोर्ड मीटिंग बुलाना / बुलाना / आयोजित करना , यदि कोई हो और निर्धारित समय के भीतर कंपनी के सदस्यों की बैठकें। किस बैठक के संबंध में वार्षिक रिटर्न के अनुसार, उचित नोटिस दिए गए थे और डाक मतपत्रों द्वारा पारित परिपत्र प्रस्तावों और प्रस्तावों सहित कार्यवाही।
  5. सुरक्षा धारकों / सदस्यों के रजिस्टर को बंद करना,
  6.  अपने निदेशकों और / या फर्मों या कंपनियों या व्यक्ति को अग्रिम / ऋण अधिनियम की धारा 185 में वर्णित;
  7. संबंधित पक्षों के साथ व्यवस्था / अनुबंध अधिनियम की धारा 188 में निर्दिष्ट;
  8. प्रतिभूतियों या शेयरों की पुनर्खरीद / वरीयता शेयरों या डिबेंचर को भुनाने / शेयर पूंजी का परिवर्तन / या शेयर पूंजी की कमी / शेयरों / प्रतिभूतियों के रूपांतरण और सभी उदाहरणों में शेयर प्रमाणपत्र जारी करना; / जारी, आवंटन, हस्तांतरण, शेयरों का प्रसारण।
  9. निष्क्रियता की स्थिति में अधिनियम के प्रावधानों के अनुपालन में शेयरों के हस्तांतरण के लंबित अधिकारों, लाभांश और बोनस शेयर को साझा करने का अधिकार।
  10. अधिनियम की धारा 134 के प्रावधानों के अनुसार एक लेखा परीक्षित वित्तीय विवरण पर हस्ताक्षर। और निदेशकों की रिपोर्ट उपधाराओं (3), (4) और (5) के अनुसार है।
  11. अधिनियम की धारा 125 के अनुसार निवेशक शिक्षा और संरक्षण कोष में लागू लाभांश की घोषणा / भुगतान, अवैतनिक / लावारिस लाभांश / अन्य राशियों का हस्तांतरण;
  12. निदेशक / सेवानिवृत्ति की संवैधानिक / पुन: नियुक्ति / नियुक्ति / आकस्मिक रिक्तियां / सेवानिवृत्ति / निदेशकों के खुलासे, मुख्य प्रबंधकीय कार्मिक और उन्हें भुगतान पारिश्रमिक।
  13. अधिनियम की धारा 139 के प्रावधानों के अनुसार आकस्मिक रिक्त लेखा परीक्षकों की नियुक्ति / पुनर्नियुक्ति / पुनर्नियुक्ति / भरना;
  14. अधिनियम के विभिन्न प्रावधानों के अनुसार, केंद्र सरकार, ट्रिब्यूनल, क्षेत्रीय निदेशक, रजिस्ट्रार, न्यायालय या अन्य प्राधिकारियों से अनुमोदन लेना आवश्यक है।
  15. जमा की स्वीकृति / नवीनीकरण / पुनर्भुगतान।
  16. इसके निदेशकों, सदस्यों, सार्वजनिक वित्तीय संस्थानों, बैंकों और अन्य से उधार लेना और आरोपों का सृजन / आरोपों का संशोधन / उस संबंध में आरोपों की संतुष्टि, जहां भी लागू हो।
  17. कंपनी के मेमोरेंडम और लेखों के प्रावधानों का अनुकूलन ।

फॉर्म MGT-8: गैर-अनुपालन के लिए दंड

यदि कंपनी सचिव फॉर्म एमजीटी -8 में एक गलत प्रमाण पत्र प्रदान करता है जो धारा 92 के कानूनों में उल्लिखित सभी प्रावधानों को पूरा नहीं करता है, तो कंपनी सचिव को जुर्माना वहन करना होगा। कंपनी के सचिव को जो जुर्माना होगा वह 50,000 रुपये से कम नहीं होगा और रुपये तक बढ़ सकता है। 5 लाख।

कंपनी सचिव अधिनियम, १ ९ also० के प्रावधान के अनुसार आईसीएसआई की अनुशासन समिति द्वारा एक कंपनी सचिव अनुशासनात्मक कार्रवाई के लिए भी उत्तरदायी होगा।

यदि कोई रिटर्न, रिपोर्ट, प्रमाण पत्र, वित्तीय विवरण, या कोई अन्य दस्तावेज गलत बयान देता है या किसी भी सामग्री या गलत तथ्यों को छोड़ता है तो कंपनी अधिनियम, 2013 की धारा 448 भी कंपनी सचिव पर जुर्माना लगाती है।

किसी को दोषी या धोखाधड़ी पाए जाने पर कारावास की गंभीर सजा दी जाती है। कारावास न्यूनतम 6 महीने के लिए होगा और 10 साल तक बढ़ सकता है। इसके अलावा, जुर्माना लगाया जाएगा जो धोखाधड़ी में शामिल राशि के बराबर होगा या धोखाधड़ी में शामिल धोखाधड़ी राशि के तीन गुना तक बढ़ाया जा सकता है। यदि मामला अधिक गंभीर हो जाता है और इसके कारण आम जनता प्रभावित होती है तो न्यूनतम 3 साल की कैद दी जाएगी।

  4. The megastore is required to have a minimum distance of 2.5 KM in a metro city and 3.5 KM in non-metro cities from the exiting megastore. Along with this, the megastore should also be within the minimum distance of 1 KM from the existing Patanjali chikitsalaya and Arogya Kendra.
  5. The applicant is also required to provide photographs of the chosen place, their PAN card, their passport size photographs, identity proof (Aadhar card), address proof, copy of sales registration, and rent or ownership deed given by Patanjali Ayurveda Ltd. All these required documentation should be attached with the application form.
  1. A Vaidya will be appointed by the Patanjali Ayurveda Ltd. at the megastore. The store operator is required to provide medical instruments to the Vaidya. Apart from the medical instruments, the megastore owner also has to arrange drinking, eating, sitting, toilet, etc. facilities at the store.
  2. The megastore will not be allowed to sell products of any other brands, except “Divya Pharmacy and Patanjali Ayurveda.” The store will be allowed to sell those products which will be approved by Patanjali Ayurveda.

Approximate cost of opening store at various levels

  • Patanjali retail store opening cost – Minimum Rs.50,000/-
  • Patanjali dealership store opening cost – Minimum Rs.50,000/-
  • Patanjali distributorship store opening cost – Minimum Rs.1,00,000/-
  • Patanjali megastore opening cost (in India) – Minimum Rs.1 crore

The above-mentioned prices are for opening a Patanjali store. The cost of acquiring a Patanjali franchise starts from Rs.5 lakhs for a small shop to Rs.2 crore for a megastore. The above-mentioned price is inclusive of “Interiors, Set-Up, and Inventory.” The maximum area required for a Patanjali retail shop is 300 sq. ft. whereas, the maximum area required for a Patanjali megastore is around 2000 sq. ft.  The areas mentioned are for opening the franchise in a city or town. In an interview, Baba Ramdev said, that the company will employ around 5,00,000 people after all the factors are built. Even though Patanjali has a strong marketing background, still the company will increase it’s advertisement strategies. From January to match 2020, the company doubled it’s advertisement on television.
